VGTel licenses AI creative platform in bid to restore OTC status

OTC-listed VGTel has licensed Creative OS from related party VegaCore Holdings, aiming to generate revenue while catching up on overdue regulatory filings.

VGTel, Inc. (OTC: VGTL), a Wyoming-registered technology company that is not current with its OTC Markets reporting obligations, has announced a commercialisation strategy built around Creative OS, an AI-powered digital content creation platform licensed exclusively from VegaCore Holdings. The company says the platform is already live at TheCreativeStudio.ai and that revenue generated through it will be directed towards operating costs, outstanding corporate obligations, and the restoration of its regulatory filing status.

The licensing arrangement carries a disclosure that the editor and readers should note: VGTel and VegaCore Holdings are under common control, meaning the transaction is a related-party deal. VegaCore retains ownership of all underlying intellectual property and associated patent rights; VGTel holds only the exclusive commercialisation licence. No financial terms for the licence were disclosed in the release.

Platform and infrastructure

Creative OS is described by the company as a unified environment for digital content creation, AI-assisted workflows, asset management and automation. VGTel has not published user numbers, pricing tiers, benchmark results or named customers. Infrastructure to support the platform will be provided under a colocation agreement with Cogent Communications, a global internet connectivity and network services provider. A named Cogent account manager is referenced in the release, but no contract value or capacity specifications were disclosed.

Alongside Creative OS, VGTel holds a separate exclusive licence from VegaCore for MiraLink, a distributed observational and data-collection platform described as relevant to environmental monitoring, astronomy and UAP research. VegaCore received a USPTO Filing Receipt for a provisional patent application (No. 63/962,203) associated with MiraLink in July 2026. A provisional application establishes a priority date but has not been examined for patentability; it lapses after twelve months unless a full application is filed.

Chief executive Kenneth Williams acknowledged in the release that shareholders "have not heard enough from us over the past several months," adding that the company has been "building the technology and commercial foundation for VGTel's next phase." The statement carries the tone of a turnaround narrative rather than a product launch backed by commercial traction.

Investor and market context

VGTel is an OTC-traded micro-cap with no current financial filings, which places it in a high-risk category for investors. The OTC Markets Group's pink-sheet tier includes a significant number of companies in similar positions: operationally dormant or restructuring, using a technology licensing vehicle to demonstrate a path back to compliance. That structural pattern does not preclude eventual value creation, but it does represent a distinct risk profile from a listed enterprise-software vendor with audited accounts.

The AI-powered creative tools market is well-populated. Adobe Firefly, Canva's AI suite, Runway and a range of well-funded startups are all competing for digital-content workflows. VGTel has not explained how Creative OS differentiates from these incumbents, what its pricing model is, or what customer segments it is targeting. Without named customers, revenue figures or independent benchmark data, it is not possible to assess commercial viability from the information provided.

Investors monitoring OTC-market activity in the AI sector should treat this announcement as a statement of intent rather than evidence of commercial traction. The company says it will provide further updates as material developments occur.
