Quantisimo targets Nasdaq listing via GigCapital8 SPAC merger
Quantisimo Corp., a special purpose quantum vehicle established by WISeQey Corp. and its subsidiary SEALSQ Corp., has signed a definitive business combination agreement with GigCapital8 Corp., a Nasdaq-listed SPAC. The deal would take Quantisimo public under the ticker "QSMO" on the Nasdaq Capital Market, with closing expected in the first quarter of 2027 subject to GigCapital8 shareholder approval and SEC registration.
Under the agreed terms, WISeQey and SEALSQ will receive an aggregate of 66.61 million shares in the new holding company, Quantisimo Holding Corp., implying a pro forma equity value of approximately $666 million at $10.00 per share. The transaction requires minimum available cash of $15 million, to be sourced from GigCapital8's trust account, any PIPE investment, and a matching cash contribution from SEALSQ. All parties have agreed to customary six-month lock-up arrangements following closing.
What Quantisimo is
The "Root to Qubit" branding describes a strategy to integrate post-quantum cryptography, secure semiconductors, photonic technologies, quantum networking and satellite communications into a single sovereign quantum stack. Prior to closing, WISeQey and SEALSQ will contribute their interests in four operating entities: Miraex SA (photonic quantum technologies, Switzerland), SEALCOIN AG (decentralised physical infrastructure, Switzerland), WeCan Group SA (Switzerland) and WISeSat.Space Holdings Corp., itself already Nasdaq-listed under the ticker SAIQ.
Carlos Moreira, chief executive of WISeQey, SEALSQ and WISeSat.Space, said the transaction "provides a path to the U.S. public markets to support this strategy," adding that WISeQey and SEALSQ are expected to retain a majority shareholding after closing, reflecting what he described as a long-term commitment to building the platform.
The company positions itself as a "pure-play" quantum business, meaning its primary operations and investment profile are concentrated exclusively on quantum-adjacent technologies rather than quantum as a secondary line within a broader conglomerate. Quantisimo has not disclosed current revenues, customer names, or product-level performance benchmarks for the contributed assets.
Market and regulatory context
The SPAC route to public markets has faced increased SEC scrutiny since 2021, with the regulator tightening disclosure requirements for de-SPAC transactions, particularly around forward-looking financial projections and sponsor conflict-of-interest disclosures. Quantisimo's F-4 registration statement, yet to be filed, will be the first detailed public disclosure of the combined entity's financials and risk factors. Investors should treat the implied $666 million valuation as a negotiated headline figure rather than a market-tested number until the prospectus is available.
On the technology side, Quantisimo enters a post-quantum security market that is gaining urgency as the US National Institute of Standards and Technology finalised its first post-quantum cryptography standards in 2024, with federal agencies facing a migration deadline of 2030. Enterprise and government buyers are actively evaluating post-quantum semiconductor and PKI solutions, which puts SEALSQ's existing product lines in a commercially relevant position. However, the broader quantum-computing stack that Quantisimo aspires to build, spanning photonics, networking, sensing and space connectivity, remains largely pre-commercial across the industry.
Competitors in adjacent segments include Quantinuum and IonQ on the quantum-computing side, and a range of hardware security module vendors and PKI providers on the cryptographic trust side. A vertically integrated sovereign quantum platform of the kind Quantisimo describes does not yet have a direct public-market comparator, which is both a differentiator and a challenge for institutional investors assessing the listing.
The BVI holding-company structure and dual-class share arrangement, under which Class F shares will carry an aggregate 49.999999% of total voting power, are features investors will want to scrutinise closely once the proxy statement is available.
