ASM International to nominate Rutger Wijburg to Supervisory Board
ASM International has announced its intention to nominate Dr. Rutger Wijburg to its Supervisory Board, with a shareholder vote expected at an Extraordinary General Meeting (EGM) in early March 2027. The Euronext Amsterdam-listed semiconductor equipment maker said the proposed appointment forms part of its broader succession planning.
Wijburg brings more than 30 years of experience in the semiconductor industry. His most recent executive role was at Infineon Technologies, where he served as Chief Operations Officer and a member of the Management Board from 2022 until 2025. Before Infineon, he held senior positions at GlobalFoundries, NXP and Philips Semiconductors. He currently sits on the Supervisory Boards of ZEISS Group and SMART Photonics.
The nomination
Pauline van der Meer Mohr, Chair of ASM's Supervisory Board, said Wijburg's background in manufacturing and operations would "further strengthen the expertise represented on our Supervisory Board" as the company continues to support customers "at the leading edge of semiconductor innovation." In the months ahead of the shareholder vote, the board plans to familiarise Wijburg with ASM's operations and strategy.
The nomination must be approved by shareholders at the EGM before taking effect. ASM did not disclose the specific Supervisory Board term length or remuneration arrangements associated with the proposed appointment.
Market context
ASM International specialises in atomic layer deposition (ALD) and epitaxy equipment, technologies that are increasingly critical as chipmakers push to smaller process nodes. The company competes in a capital-intensive equipment segment alongside Applied Materials, Lam Research and ASML, and its fortunes track closely with investment cycles at leading-edge fabs run by customers such as TSMC, Samsung and Intel Foundry.
The addition of an executive with Infineon's operational background is notable given that Infineon is a major European integrated device manufacturer with substantial automotive and power semiconductor exposure. Wijburg's cross-sector experience, spanning logic, foundry and compound semiconductors through his roles at GlobalFoundries and NXP, covers a broader manufacturing footprint than ASM's current board composition may fully reflect.
Supervisory board renewal is under heightened scrutiny in the Netherlands following updated Dutch Corporate Governance Code guidelines that emphasise relevant sector expertise and independence. ASM's decision to frame the Wijburg nomination explicitly as part of succession planning, rather than a response to any vacancy, signals a degree of proactive governance that institutional investors are likely to view favourably.
Regulatory path
Because ASM listed on Euronext Amsterdam, the nomination is subject to Dutch company law procedures and the company's articles of association. The release has been classified as inside information under Article 7(1) of the EU Market Abuse Regulation, reflecting the board-level significance of the disclosure. Shareholders will need to formally approve the appointment at the EGM; if approved, Wijburg would join a board responsible for overseeing an equipment business that generated revenues of roughly €3 billion in recent financial years, though ASM did not reference specific financial metrics in this release.
The semiconductor equipment sector is navigating a complex environment shaped by US export controls on advanced chip technology to China, ongoing fab expansion in Europe under the EU Chips Act, and fluctuating demand from memory customers. A Supervisory Board member with deep operations experience across multiple geographies may support ASM as it manages supply-chain and customer-mix pressures over the next investment cycle.
