DirectBooking and DeepYou form AI robotics travel JV in China
DirectBooking Technology (NASDAQ: ZDAI) has signed a joint venture agreement with Beijing DeepYou Digital Technology, giving the two companies a combined vehicle to build what they describe as an AI agent-to-agent travel and hospitality booking platform for the Chinese market. DirectBooking will hold a 51% equity stake; DeepYou will hold the remaining 49%.
The new entity will be chaired by Li Daxue, formerly a Senior Vice President at JD.com, where he is said to have grown the technology team from a few hundred to tens of thousands of staff and built the transaction infrastructure that underpinned the platform's trillion-yuan scale. Li also holds an advisory role at JD.com and has been named a digital economy expert by China's Ministry of Commerce.
The platform
The venture's stated objective is to displace the conventional online travel agency (OTA) model, under which platforms charge hotels commissions of 15% to 25%. In place of that intermediary layer, the JV intends to use AI agent technology to connect supply and demand directly, with DeepYou's "OpenClaw" autonomous agent technology handling fragmented hospitality inventory and DirectBooking's existing hotel property management system (PMS) and SaaS infrastructure providing back-end fulfilment.
DeepYou brings a distribution asset of some significance: the company says it holds cooperation agreements with more than 400 scenic attractions across 22 Chinese provinces and serves over 300 million visitors annually. The joint venture's three-year target is to cover between 30,000 and 50,000 hotels and deploy between three and ten AI "employee" agents per property.
The market figures cited in the release are drawn from China's Ministry of Culture and Tourism, which recorded 5.615 billion domestic tourist trips in 2024, up 14.8% year on year, with total tourism revenue exceeding RMB 5.75 trillion. These are verifiable public statistics, though the JV's claim to address a "trillion-yuan market" is the company's own framing of its opportunity.
Context and caveats
There is a material disclosure buried in the "About" section of the release that editors should note. DirectBooking Technology's actual current business has nothing to do with travel software. Its Hong Kong operating subsidiary, Primega Construction Engineering Co., provides soil and rock transportation, excavation and bored-piling services to construction contractors in Hong Kong. The company is, in effect, a construction logistics business announcing a pivot into AI travel software via a joint venture, a profile common among small-cap NASDAQ-listed entities seeking to reposition around AI narratives.
That context matters for readers assessing the company's capacity to execute. DirectBooking does claim to have developed hotel PMS, direct-connect SaaS and membership management systems, but the scale and commercial traction of those products are not evidenced in the release.
The AI agent-to-agent model the JV describes sits within a broader and rapidly crowding category. Established Chinese OTAs including Trip.com and Meituan have significant engineering resources and existing merchant relationships. A number of well-funded startups are pursuing agentic AI approaches to vertical commerce in China, and international players with AI booking tools are also active in the outbound segment. The JV's claimed first-mover advantage in a natively agent-to-agent architecture is asserted rather than demonstrated.
Regulatory considerations are also material. AI-driven dynamic pricing and autonomous agent interactions in consumer-facing travel services will fall within China's evolving algorithmic recommendation and AI governance rules, including the Interim Measures for Generative AI Services. Any cross-border data flows involving non-Chinese users would engage additional compliance obligations.
The JV's milestones to watch are a named commercial launch, evidence of hotel sign-ups against the 30,000 to 50,000 target, and any update on DirectBooking's underlying business performance.
