SMARTBUILD and Pasqua First Nation form majority Indigenous tech firm
SMARTBUILD Construction Solutions and Pasqua First Nation have signed a memorandum of understanding to establish SMARTBUILD Energy Infrastructure Defence (EID), a new Regina-based subsidiary structured so that a minimum of 52.5% of its equity is reserved for First Nations, Métis and Inuit organisations. The agreement was signed at the 34th International Defence Industry Exhibition (MSPO 2026) in Kielce, Poland, where the venture was introduced to Canadian and NATO-allied prime contractors.
Under the MOU, PFN Group of Companies, the economic development arm of Pasqua First Nation, will evaluate a founding equity stake, hold a seat on the board of advisors, and contribute to the subsidiary's strategic business plan. The MOU is a statement of intent; definitive investment terms remain subject to due diligence.
The deal
SMARTBUILD brings the technology layer to the venture. Its platform has managed more than $250 million in public infrastructure across 54 projects in 31 Canadian communities, and the company holds a Microsoft Cloud Solution Provider partnership. SMARTBUILD EID will offer Microsoft 365, Copilot, Dynamics and Azure solutions to public sector, non-profit and commercial customers, and will hold all intellectual property and source code on Canadian servers.
Pasqua First Nation contributes complementary industrial depth. Its wholly owned subsidiary, Pro Metal Industries, carries more than 30 years of fabrication experience across defence, aerospace and energy, and is registered under Canada's Controlled Goods Program. The Nation is also one of six Indigenous partners in Enbridge's proposed 200-megawatt Seven Stars Energy Project in southern Saskatchewan, giving the partnership an established foothold in large-scale energy infrastructure.
Founder and chief executive Zulq Malik said working with Pasqua First Nation as co-owners, rather than contractors or consultants, reflects the company's approach to reconciliation. "Pasqua First Nation already has the expertise and the relationships in defence and energy," he said. "Working together, as owners, is the right way to enter those sectors."
Market context
The venture is timed to capture two converging procurement tailwinds. The Government of Canada requires federal departments and agencies to direct at least 5% of total contract value to Indigenous businesses, while prime contractors on major defence programmes carry Industrial and Technological Benefits obligations that reward Canadian content. A majority Indigenous-owned software company with Canadian IP and a Canadian cloud footprint is positioned to satisfy both tests simultaneously, giving it a structural advantage in federal tender processes.
Canada's defence spending commitment, targeting 5% of GDP on defence and security-related priorities by 2035, is expected to generate a substantial pipeline of technology contracts in areas where SMARTBUILD EID intends to compete. The enterprise software market for defence and infrastructure is dominated by large US and European primes; a domestically owned, Indigenous-majority platform with an established Microsoft partnership occupies a differentiated position for public sector buyers prioritising supply-chain sovereignty.
Workforce and talent pipeline
The partnership extends beyond equity structure. SMARTBUILD and Pasqua First Nation have committed to developing an Indigenous talent pipeline spanning awareness programmes in elementary schools through to internship and co-op placements in software development, AI, analytics, marketing and finance. Richard Missens, chief executive of PFN Group of Companies, described the programme as an effort to build lasting technical leadership within Indigenous communities, rather than simply creating near-term employment.
The talent dimension is strategically significant: Canada's federal digital procurement frameworks increasingly reward vendors that demonstrate Indigenous participation not only in ownership but in workforce composition. A structured pipeline from school outreach to graduate placement gives SMARTBUILD EID a credible narrative on both counts as it pursues public sector contracts.
