Tiltan Software Engineering, the Israeli simulation subsidiary of Nasdaq-listed T3 Defense (DFNS), has received an initial purchase order from an unnamed Israeli defence prime contractor to deliver a proof-of-concept hardware-in-the-loop (HWIL) simulation of a next-generation infrared electro-optical system. The order represents the first phase of a programme the company says could expand into a contract worth up to $2 million as the customer moves from concept validation through full-scale development and qualification.

The work will be carried out on Tiltan's proprietary T-Verse platform, which recreates operational environments in a laboratory setting to accelerate engineering development cycles and enable testing of scenarios that are difficult to replicate in the field. The platform incorporates AI-assisted components to handle what the company describes as increasingly complex battlefield requirements.

The deal

Menny Shalom, chief executive of T3 Defense, said the engagement was representative of the "high-value, scalable" opportunities the group is targeting across its portfolio. Ehud Shafir, chief executive of Tiltan, described the award as reinforcing recognition of Tiltan's capabilities among Israel's most advanced defence manufacturers and a platform for a broader multi-phase engagement.

T3 Defense did not name the customer, and the $2 million ceiling represents a potential programme value rather than a committed contract figure. The initial purchase order covers only the proof-of-concept phase; subsequent phases would require separate awards as the programme progresses through qualification milestones.

Market context

HWIL simulation is a growing segment of the broader defence modelling and simulation market, which encompasses synthetic environments for training, systems development and test and evaluation. Demand has been accelerating as procurement cycles tighten and live-fire test ranges face capacity constraints, making laboratory-based simulation increasingly attractive to prime contractors seeking to reduce development risk before field trials.

Tiltan operates in a competitive landscape that includes established simulation vendors in Europe and the United States, as well as Israeli peers embedded in the country's defence industrial base. Israel's defence export sector has historically been a strong environment for specialist engineering suppliers; its prime contractors maintain long-cycle development programmes in areas including guided munitions, unmanned systems and airborne surveillance, all of which rely heavily on electro-optical and infrared sensor technology.

For T3 Defense, which describes itself as a holding company that acquires and operates mission-critical defence businesses, the Tiltan engagement fits a stated strategy of deepening relationships with large prime contractors and building recurring, longer-duration simulation and engineering programmes. The company has not disclosed its current revenue run rate or the proportion of Tiltan's revenue attributable to HWIL work.

Standards and regulatory read-across

Simulation programmes involving infrared electro-optical systems that are ultimately intended for export may be subject to Israeli Ministry of Defence export licensing, as well as relevant US International Traffic in Arms Regulations (ITAR) controls if US-origin technology is incorporated. T3 Defense's US listing and New York headquarters add a layer of compliance consideration for any technology transfer between the US parent and the Israeli subsidiary. The company did not address these questions in its release.

Investors in small-cap defence holding companies will be watching for conversion of the proof-of-concept phase into a funded development contract, along with disclosure of the customer's name, as the key near-term milestones for this programme.
